Terms of Use
1. Agreement
These Terms of Use (the “Terms”) are an agreement between you and Yurii Tarnavskyi (“we”, “us”, “our”) about XeoPlayer, our audio player app for iPhone. By downloading, installing or using XeoPlayer, you agree to these Terms.
XeoPlayer is licensed to you, not sold, under Apple’s Licensed Application End User License Agreement (the “Standard EULA”). These Terms add the details that are specific to XeoPlayer. If these Terms and the Standard EULA conflict about the license itself, the Standard EULA governs.
If you don’t agree to these Terms, please don’t use XeoPlayer, and delete it from your iPhone.
2. What XeoPlayer is
XeoPlayer is an offline audio player for iPhone, and it requires iOS 18 or later. It plays audio files that you put on your iPhone yourself — audiobooks, music, lectures and other recordings — one folder at a time, in the order of their names, so Chapter 2 comes before Chapter 10.
You can bring audio in over Wi-Fi from a web browser on another device, or by choosing files and folders from the Files app inside XeoPlayer.
XeoPlayer doesn’t provide, sell, stream or recommend any content. There is no account to create, and the app doesn’t depend on any service of ours to play your library.
3. Your audio
You are responsible for the audio you bring into XeoPlayer. Only import files you own or otherwise have the right to copy and listen to.
Your files stay on your iPhone. We never receive, see, copy or check them, and we don’t know what is in your library.
XeoPlayer plays MP3, M4A, M4B, AAC, WAV, AIFF, CAF and FLAC files. It doesn’t play files with copy protection (DRM), and you may not use it to get around any copy protection.
4. The free period
Every feature of XeoPlayer is free for five days, counted from the first time you open the app. The five days are measured as five full periods of 24 hours, not as calendar days.
- The free period is part of XeoPlayer itself. It is not an App Store free trial, and it doesn’t start a subscription.
- You don’t enter any payment details for it, and nothing is charged when it ends.
- Each iPhone gets one free period. Deleting and reinstalling XeoPlayer doesn’t start a new one.
- Setting your iPhone’s date and time forward can end the free period early. Once it has ended, it doesn’t come back.
5. The full version and purchases
When the free period ends, importing new audio — over Wi-Fi and from the Files app — needs the full version of XeoPlayer. You can get it in the app in one of three ways:
- an auto-renewable subscription for 3 months;
- an auto-renewable subscription for 1 year; or
- a one-time lifetime purchase.
The name, length and price of each option are shown in the app, in your local currency, before you buy. Prices may differ between countries and may change over time.
All purchases are made through the App Store and charged to your Apple ID when you confirm them. Apple’s own terms and payment policies apply to them as well as these Terms. Purchases are checked on your iPhone using Apple’s StoreKit; we never see your payment details or your Apple ID.
6. Subscriptions
If you choose a subscription:
- Payment is charged to your Apple ID when you confirm the purchase.
- The subscription renews automatically for another period of the same length — 3 months or 1 year — unless auto-renew is turned off at least 24 hours before the end of the current period.
- Your Apple ID is charged for the renewal within the 24 hours before the end of the current period.
- You can manage your subscription and turn off auto-renew at any time in your iPhone’s Settings › your name › Subscriptions. Apple explains the steps in its guide to canceling a subscription.
- If you cancel, the subscription stays active until the end of the period you have already paid for. Unused parts of a period are not refunded, except where Apple’s policies or the law require it.
- When a subscription ends, importing turns off again. Nothing in your library is removed, and everything in it keeps playing.
7. Lifetime purchase
The lifetime purchase is a single payment. It unlocks the full version on your Apple ID for as long as XeoPlayer is offered, with nothing to renew and nothing more to pay. Because it belongs to your Apple ID, you can restore it on another iPhone signed in with the same Apple ID (see section 9).
8. What stays free
Only importing needs the full version. Playing, browsing your folders, search, shuffle and deleting stay free for good, for everything already in your library — including everything you imported during the free period or while you had the full version.
Nothing is ever removed from your library because a free period, a subscription or a purchase has ended.
9. Restoring purchases
Purchases belong to the Apple ID that made them, and XeoPlayer normally picks them up by itself when it opens. If a purchase ever doesn’t show up, for example on a new iPhone, open the purchase screen in XeoPlayer and tap Restore Purchases while signed in with the Apple ID you bought with. Restoring needs an internet connection, because it asks the App Store.
If a family member’s purchase needs approval through Ask to Buy, it stays pending until it is approved. Importing turns on as soon as it is.
10. Refunds
All payments are processed by Apple, so we can’t issue refunds ourselves. You can ask Apple for a refund at reportaproblem.apple.com, and Apple decides under its own policies. If a purchase is refunded, the full version it unlocked ends and importing turns off again. Your library stays as it is.
11. Importing over Wi-Fi
While the Import screen is open, your iPhone runs a small web server on your local network and shows its address — for example http://192.168.1.24:8080 — along with a QR code. Files travel straight from the browser to your iPhone over your own network. They never pass through our servers or the internet.
The import page has no password. While the Import screen is open, any device on the same network that opens the address can send audio to your iPhone. Use Wi-Fi import only on networks you trust, such as your home network, and not on public Wi-Fi. Closing the Import screen stops the server.
12. Your files and backups
Your library is kept only in XeoPlayer’s storage on your iPhone. We have no copy of it and can’t recover it, so please keep your own copies of anything that matters to you.
- XeoPlayer has no trash. Deleting a track or a folder in the app is permanent, and deleting a folder deletes everything inside it.
- Deleting XeoPlayer from your iPhone deletes its library as well.
- Depending on your own settings, iOS may include the app’s files in your iCloud or computer backups. Those backups are handled by Apple and by you, not by us.
To the extent the law allows, we are not responsible for files that are lost, deleted or damaged.
13. Acceptable use
Use XeoPlayer only for lawful purposes and as these Terms and the Standard EULA allow. Don’t copy, modify, reverse engineer, resell or redistribute the app, except where the law expressly allows it, and don’t use it to infringe anyone else’s rights.
14. Changes to XeoPlayer and these Terms
We may update XeoPlayer from time to time — adding, changing or removing features — and we may stop offering it. We may also update these Terms. When we do, we will change the date at the top of this page, and for significant changes we will try to let you know in advance, for example in the release notes on the App Store. If you keep using XeoPlayer after a change takes effect, the updated Terms apply to you.
15. Apple
These Terms are between you and us, not Apple. In particular:
- We, not Apple, are solely responsible for XeoPlayer and its content.
- Your license to use XeoPlayer is limited to Apple-branded products that you own or control, as allowed by the Usage Rules in the App Store Terms of Service.
- Apple has no obligation to provide any maintenance or support for XeoPlayer.
- If XeoPlayer fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price of the app, if any, to you. To the maximum extent the law allows, Apple has no other warranty obligation with respect to XeoPlayer.
- Apple is not responsible for addressing any claims by you or anyone else relating to XeoPlayer or your use of it, including product liability claims, claims that it fails to meet a legal or regulatory requirement, and claims under consumer protection, privacy or similar laws.
- If anyone claims that XeoPlayer or your use of it infringes their intellectual property rights, we, not Apple, are responsible for investigating, defending, settling and discharging that claim.
- Apple and its subsidiaries are third-party beneficiaries of these Terms and, once you accept them, may enforce them against you.
- You confirm that you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country, and that you are not listed on any U.S. Government list of prohibited or restricted parties.
16. Disclaimer of warranties
To the extent the law allows, XeoPlayer is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We don’t promise that the app will be free of errors or interruptions, or that it will play every file.
Some countries don’t allow certain warranties to be excluded. Where that is the case, those exclusions don’t apply to you.
17. Limitation of liability
To the extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of data, files, profits or goodwill, arising out of or relating to XeoPlayer or your use of it. Our total liability for any claim relating to XeoPlayer is limited to the amount you paid for it in the twelve months before the claim arose.
Nothing in these Terms limits or excludes any liability that can’t be limited or excluded under the law that applies to you, such as liability for death or personal injury caused by negligence, or for fraud.
18. Governing law
These Terms are governed by the laws of Ukraine, without regard to its conflict-of-law rules. If you are a consumer, this doesn’t take away the protection of the mandatory consumer laws of the country where you live, and you can also bring a claim in the courts there.
